These terms apply to the use of the www.novaweb.ro website, the presentation pages, the contact forms, quote requests, the free on-page SEO audit tool and the other features available on the website.

In these terms, „Novaweb”, „we” or „the provider” refers to NOVAWEB AGENCY SRL, and „user”, „client” or „you” refers to any person who accesses the website, uses the available tools or sends us a request.

  1. The services presented on the website

The website presents digital services such as:

  • Creation of business websites in WordPress

  • Development of online stores

  • Building landing pages

  • SEO optimization

  • Maintenance, technical support and web hosting services

  • Free on-page SEO audit tool

  • Consultancy and recommendations regarding online presence

Novaweb services are, as a rule, tailored services, adapted to each client’s requirements, the type of project, complexity, deadlines, features and the materials provided.

The information on the website serves as a general presentation and does not constitute a firm contractual offer. A collaboration becomes firm only after the explicit acceptance of a proposal, quote, order, contract or other form of written agreement between the client and Novaweb.

  1. Use of the website

The user undertakes to use the website lawfully, properly and in accordance with the purpose for which it is made available.

The website may not be used for:

  • Illegal, fraudulent or abusive activities

  • Sending false, offensive, defamatory or misleading messages

  • Attempting to affect the operation of the website

  • Attempting unauthorized access to servers, accounts, databases or private areas

  • Unauthorized copying of the website content

  • Using the forms or tools for spam, scanning, attacks, scraping or excessive automation

We reserve the right to limit, block or refuse access to the website, forms or tools in the event of abusive, automated, risky use or use contrary to these terms.

  1. Use of the Free SEO Audit tool

Novaweb may make the Free SEO Audit tool available to users, through which a public URL can be entered in order to generate an automated on-page SEO analysis.

The tool may provide an indicative score, technical recommendations, observations regarding page structure, metadata, content, indexing and, where applicable, local signals relevant to SEO.

4.1 The indicative nature of the report

The report generated by the Free SEO Audit is informative and indicative in nature. It is based on the data publicly available at the URL entered, on the content technically accessible at the time of the analysis and on the application’s internal evaluation rules.

The report does not constitute complete SEO consultancy, a complete technical audit, a firm contractual offer or a guarantee regarding ranking in Google, organic traffic, conversions, sales or other commercial results.

Results may vary depending on factors not controlled by Novaweb, including changes to the analyzed site, indexing in search engines, competition, domain authority, content quality, technical structure, loading speed, changes to Google algorithms or restrictions on access to the analyzed page.

4.2 Technical limitations

The tool may return incomplete or out-of-date results, or may be unable to analyze certain pages correctly, in situations such as:

  • The page is unavailable or returns technical errors

  • The page blocks access by crawlers or automated requests

  • The content is rendered exclusively through JavaScript and is not available in the initial HTML

  • The site uses a firewall, anti-bot protection or geographical restrictions

  • The page returns different content depending on the device, location, session or user agent

  • The URL entered is incorrect, temporarily unavailable or redirects to different content

  • The page content changed after the report was generated

  • Some external resources cannot be accessed at the time of the analysis

Novaweb does not guarantee the permanent availability of the tool and reserves the right to modify, limit, suspend or discontinue its operation for maintenance, security, updates, technical costs, abuse prevention or other operational reasons.

4.3 Permitted use

The user may use the tool to analyze their own website or public pages for which they have a right, agreement or legitimate interest in carrying out an analysis.

The tool may not be used for:

  • Excessive automated requests

  • Abusive testing of a large number of URLs

  • Attempting to access internal, private, protected or non-public resources

  • Affecting the operation of the Novaweb website or of other services

  • Scanning, attacking or exploiting third-party systems

  • Intentionally entering malicious or dangerous URLs, or URLs used for cyber attacks

  • Using the report in a misleading or defamatory manner, or contrary to the law

Novaweb may limit, block or refuse requests that appear abusive, automated, risky or contrary to the purpose of the tool.

4.4 Responsibility for the URL entered

The user is responsible for the URL entered into the Free SEO Audit tool.

Please enter only URLs of public pages that you have the right to analyze or for which you have a legitimate interest. The tool must not be used to attempt to access, analyze or process private, password-protected, non-public or restricted areas.

Novaweb does not request access to passwords, accounts, administration panels, private platforms or confidential data in order to generate the free SEO audit.

4.5 The report by email

In order to access the full report, the user may enter a valid email address. Sending the report by email is a transactional flow, necessary for providing the result requested.

Sending the report by email does not mean automatic subscription to the newsletter and does not mean automatic enrolment in the SEO remediation tips flow.

The user receives the report requested even if they do not choose additional communications.

4.6 The SEO remediation tips flow

The SEO remediation tips flow is optional and may involve sending educational emails, recommendations or follow-up messages related to improving SEO.

The user enters this flow only if they explicitly choose the dedicated option, by ticking the corresponding checkbox or by confirming the option in the window displayed before the report is sent.

The user can unsubscribe at any time from the emails received or by making a request at contact@novaweb.ro.

4.7 Newsletter

The Novaweb newsletter is separate from the report by email and from the SEO remediation tips flow.

The user is subscribed to the newsletter only if they separately tick the newsletter option. The newsletter is not ticked by default.

The user can unsubscribe at any time using the link included in the emails received or by making a request at contact@novaweb.ro.

4.8 Contact forms and quote requests associated with the audit

The tool may include forms through which the user can request a quote, a discussion, consultancy or contact from Novaweb.

By submitting these forms, the user confirms that the data entered is correct and that they may be contacted by Novaweb for the handling of the request.

Submitting a request does not oblige Novaweb to accept the project, to send a quote or to start a collaboration. Any collaboration is established separately, by explicit agreement.

The forms may be protected by anti-spam mechanisms, including Google reCAPTCHA.

4.9 Recommendations and services displayed in the report

The report may include recommendations regarding Novaweb services, such as SEO optimization, website creation, landing page, online store, maintenance or consultancy.

These recommendations are generated on the basis of the score and of the issues detected, but do not constitute a firm contractual offer. Any commercial offer will be sent separately, following a discussion or an individual assessment.

4.10 Liability regarding the Free SEO Audit tool

Novaweb makes efforts for the tool to provide useful and relevant information, but does not guarantee that the report is complete, free of errors, permanently up to date or sufficient for all the technical and commercial situations of a website.

The use of the recommendations in the report is at the user’s own risk. For important decisions regarding SEO, web development, migration, indexing, content, commercial campaigns or investments in promotion, we recommend dedicated consultancy and individual analysis.

  1. Contact forms, quotes and collaboration

By filling in a contact form, sending a quote request or sending an email to Novaweb, the user expresses their interest in a discussion, a quote or a possible collaboration.

An order or collaboration becomes firm only after an explicit agreement between the client and Novaweb. This agreement may be reached through an accepted quote, email, contract, proforma invoice, confirmed order or another means of communication agreed by the parties.

Before the collaboration begins, the following may be established, depending on the project:

  • The subject matter of the services

  • The structure of the project

  • The features included

  • The materials required from the client

  • The delivery deadlines

  • The costs involved

  • The method and terms of payment

  • The number of revisions included, where applicable

  • The conditions for maintenance, support or hosting

  • The responsibilities of each party

Contractual communication may take place by email, phone, messaging, online platforms or other electronic means accepted by the parties.

  1. The client’s obligations within a collaboration

For the project to run smoothly, the client is obliged to provide correct, complete and timely information.

Depending on the project, the client may be responsible for:

  • Providing the texts, images, logo and other necessary materials

  • Confirming the structure of the website

  • Validating the design, content and features

  • Providing the necessary technical access, where applicable

  • Checking the information displayed on the website

  • Confirming the contact details, services, prices or other commercial information displayed

  • Meeting the agreed feedback deadlines

  • Ensuring that the materials sent do not infringe the rights of third parties

Novaweb is not responsible for delays caused by the absence of materials, feedback, access or approvals required from the client.

  1. Prices, payments and invoicing

All prices for Novaweb services are set individually, depending on the project requirements, complexity, volume of work, features, deadlines and other particularities.

The prices displayed on the website, where they exist, are indicative, unless expressly stated otherwise.

A tailored quote will specify the services included, the cost, the deadlines and the payment terms. Where applicable, the quote will also specify whether VAT applies or not, according to the company’s tax regime at that time.

To start a project, Novaweb may request a partial advance payment, as a rule between 30% and 50% of the project value, unless otherwise agreed.

The remaining balance is paid according to the agreed terms, as a rule on delivery of the project, before final publication, before handover of access credentials or according to the stages set out in the quote.

Recurring services, such as maintenance, technical support, hosting or monthly SEO services, are invoiced according to the agreed period and conditions.

Late payment may lead to the temporary suspension of work, support, maintenance, hosting or other active services, with notice to the client, to the extent permitted by law and by the agreement between the parties.

  1. Cancellation of the collaboration

If a client cancels the collaboration after the project has started, the amounts paid up to that point may be retained for the work already carried out, the time allocated, the planning of resources, the consultancy, the concepts, the partial deliverables or the services already provided.

If the value of the work carried out exceeds the amount paid, Novaweb may request payment of the difference, depending on the stage of the project and the agreed conditions.

If the value of the work carried out is lower than the amount paid, the parties may agree a proportional settlement, except where the quote, the contract or the nature of the services justifies retaining the amount paid.

The work carried out may be handed over to the client in the form existing at the time of cancellation, only if this is technically possible and if the related payment obligations have been met.

For clients who qualify as consumers, this section applies without limiting the mandatory statutory rights provided for by consumer protection legislation.

  1. The right of withdrawal for consumers

This section applies only to natural persons who contract services outside their commercial, professional or independent activity and who qualify as consumers under the law.

In the case of distance contracts, the consumer may have the right to withdraw from the contract within 14 days of the conclusion of the contract, in accordance with the applicable legislation.

If the user requests that the provision of services begin before the withdrawal period expires, they may owe an amount proportional to the services provided up to the moment the withdrawal is communicated.

The right of withdrawal may be lost or may not apply in certain situations provided for by law, including for services fully performed with the consumer’s prior express agreement, or for digital content supplied under the conditions provided for by the applicable legislation.

In addition, many Novaweb services are clearly tailored to the client’s requirements, such as design, website structure, development, configurations, texts, optimizations or elements produced specifically for the project in question. In these cases, the conditions for cancellation, withdrawal or payment are assessed according to the nature of the service, the stage of the project, the agreement between the parties and the applicable legislation.

To exercise the right of withdrawal, the consumer can contact us at contact@novaweb.ro, by means of a clear statement regarding the decision to withdraw.

  1. Delivery, revisions and acceptance of the project

Delivery deadlines are set depending on the project and are communicated individually. Deadlines may be affected by the complexity of the project, changes requested later, delays in sending materials, lack of feedback, the unavailability of third-party services or other situations that do not depend exclusively on Novaweb.

Where the quote includes revisions, these refer to reasonable adjustments to the agreed direction, not to a complete change of the structure, strategy, design or features, unless otherwise agreed.

Requests additional to the initial quote may be estimated and invoiced separately.

A project may be considered delivered when the main agreed features are implemented and the client receives access for review, publication, administration or use, as applicable.

If the client does not send feedback within a reasonable time after delivery or after a request for approval, the project may be considered tacitly accepted, unless the parties have agreed otherwise.

  1. Technical warranty and support

Every website delivered by Novaweb benefits from a technical warranty period of 15 days, starting from the date of delivery or publication, depending on what was agreed for the project.

During this period, Novaweb remedies free of charge the malfunctions caused directly by the development carried out by Novaweb, if they are reported within the warranty period.

The technical warranty does not cover:

  • Changes made by the client or by third parties after delivery

  • Problems caused by hosting, domain, email or external services

  • Problems caused by plugins, themes, APIs or third-party platforms

  • WordPress, plugin or theme updates released after delivery

  • Cyber attacks, malware, spam or unauthorized access

  • Errors caused by deleting, modifying or incorrectly configuring content

  • New requests that were not part of the initial project

  • Problems caused by the absence of maintenance

After the warranty period, any technical intervention may be carried out for a fee, on the basis of a maintenance contract, a support subscription or a one-off request.

  1. Hosting, maintenance and recurring services

Where Novaweb provides hosting, maintenance or technical support services, these are provided in accordance with the conditions agreed separately with the client.

Hosting services may depend on third-party providers of infrastructure, data center, DNS, email, security or backup. Novaweb makes reasonable efforts for the correct operation of the services, but cannot guarantee the complete absence of interruptions, attacks, errors or technical incidents.

The client is obliged not to use the hosting services or the website for:

  • Illegal content or content that infringes the rights of third parties

  • Spam or sending unsolicited emails

  • Malware, phishing, fraud or similar activities

  • Cyber attacks or activities that affect other systems

  • Uploading materials for which they do not hold the rights

Novaweb may temporarily suspend hosting, maintenance or support services in the event of non-payment, abusive use, security risks or breach of these terms, to the extent necessary to protect the services, the clients and the infrastructure.

  1. Copyright and intellectual property

The content of the www.novaweb.ro website, including the texts, images, graphic elements, structure, logo, visual identity, code, components and published materials, is protected by copyright legislation and other intellectual property rights.

Copying, distributing, reproducing, modifying or using them without the written consent of Novaweb is prohibited, except in the cases permitted by law.

For projects delivered to clients, the rights of use over the deliverables produced specifically for the client are transferred in accordance with the conditions agreed contractually, as a rule after full payment for the services.

Until the amounts due are paid in full, Novaweb may retain the rights over the deliverables, files, structure, design, code or other materials created, to the extent permitted by law and by the agreement between the parties.

The client warrants that the materials sent to Novaweb, including texts, images, logos, files, fonts, brands, databases or other resources, may be used lawfully within the project. The client is responsible for any third-party claims regarding the materials they provide.

  1. Portfolio and presentation of projects

Unless the client requests otherwise in writing, Novaweb may mention the projects carried out in its portfolio, presentations, case studies, commercial materials or marketing communications, using the project name, screenshots, a link to the website and a general description of the services provided.

We will not publish confidential information, internal data, access credentials, passwords, financial information or other sensitive client details without agreement.

  1. Content provided by the client

The client is responsible for the lawfulness, accuracy and currency of the content provided for the project.

Novaweb is not responsible for:

  • Commercial statements made by the client

  • Incorrect prices, services, contact details or information provided by the client

  • Texts, photos, logos or materials for which the client does not hold the rights

  • Legal obligations specific to the client’s industry

  • Authorizations, certifications, approvals or mandatory statements for the client’s activity

  • Commercial policies, sales conditions, warranties, returns or other information relating to the client’s activity

The client is obliged to check and approve the information published on the website before launch.

  1. Third-party services, plugins and external platforms

Novaweb projects may use services, plugins, themes, APIs, platforms, tracking codes, payment processors, email services, maps, forms, SEO tools, security solutions or other components provided by third parties.

Novaweb is not responsible for the changes, errors, interruptions, costs, restrictions, limitations, policies or decisions of these third parties.

If a third-party service changes its rules, prices, API, compatibility, features or terms of use, additional work may be required, which may be estimated and invoiced separately.

Licences for plugins, themes, fonts, images, external services or other components may or may not be included in the quote, depending on the agreed conditions. If it is not expressly stated that a license is included, it may remain the client’s responsibility.

  1. Limitation of liability

Novaweb makes reasonable efforts for its own website, the Free SEO Audit tool and the services delivered to work correctly and to provide useful information.

Even so, Novaweb cannot be held responsible for:

  • Temporary interruptions of the website

  • Technical errors independent of Novaweb

  • Problems caused by third-party providers

  • Losses generated by incorrect use of the website or of the SEO report

  • Commercial decisions taken solely on the basis of the indicative information on the website

  • SEO results, Google rankings, traffic, sales or conversions that depend on external factors

  • Damage caused by changes made by the client or by third parties after delivery of the project

  • Problems generated by the absence of maintenance, updates or security measures

To the extent permitted by law, Novaweb’s liability for the services contracted is limited to the value of the amounts paid by the client for the service that gave rise to the dispute, except where the law provides otherwise.

Nothing in these terms limits the mandatory statutory rights of consumers, where these apply.

  1. Confidentiality and protection of personal data

The processing of personal data is carried out in accordance with Regulation (EU) 2016/679 on data protection, known as the GDPR.

  1. Cookies

The website may use cookies and similar technologies for operation, saving preferences, traffic analysis and marketing, depending on the consent expressed.

We accept no responsibility for the content, policies, availability, security or practices of these websites. Accessing them is at the user’s own risk.

  1. Handling complaints and disputes

If you have a complaint regarding the website, the Free SEO Audit tool or Novaweb services, please contact us first at contact@novaweb.ro. We will try to look into the situation and find an amicable solution.

Where the user qualifies as a consumer, they may resort to the legal mechanisms available for consumer protection, including the National Authority for Consumer Protection or, as the case may be, alternative dispute resolution procedures.

The European ODR platform for the online resolution of disputes has been closed at European Union level and is no longer available as an active mechanism for submitting complaints.

  1. Changes to the terms

We reserve the right to update these terms and conditions whenever necessary, for example in the event of changes to the website, the services, the tools, the commercial flows or the applicable legal obligations.

Any change will be published on this page, with an update to the date of the last revision.

Continuing to use the website after the changes are published constitutes acceptance of the updated version of the terms, to the extent permitted by law.

These terms and conditions are governed by the legislation in force in Romania.

Any dispute will be settled amicably as far as possible. If an amicable settlement is not possible, the dispute will be referred to the competent courts in Romania, in accordance with the applicable legislation.
